# §150404. Board of directors


Subject to [section 150406](/usc/36/150406.md), the board of directors of the [corporation](/usc/36/220501.md?p=b-7), and the responsibilities of the board, shall be as provided in the constitution and bylaws of the [corporation](/usc/36/220501.md?p=b-7) and in conformity with the laws under which the [corporation](/usc/36/220501.md?p=b-7) is incorporated.
