# §214c. Conversions in contravention of State law


No conversion of a [national banking association](/usc/12/214.md?p=b) into a [State bank](/usc/12/214.md?p=a) or its merger or consolidation with a [State bank](/usc/12/214.md?p=a) shall take place under this subchapter and [section 321 of this title](/usc/12/321.md) in contravention of the law of the [State](/usc/12/95.md?p=b-2) in which the [national banking association](/usc/12/214.md?p=b) is located; and no such conversion, merger, or consolidation shall take place under said sections unless under the law of the [State](/usc/12/95.md?p=b-2) in which such [national banking association](/usc/12/214.md?p=b) is located [State banks](/usc/12/214.md?p=a) may without approval by any [State](/usc/12/95.md?p=b-2) authority convert into and merge or consolidate with [national banking associations](/usc/12/214.md?p=b) under limitations or conditions no more restrictive than those contained in [section 214a of this title](/usc/12/214a.md) with respect to the conversion of a national bank into, or merger or consolidation of a national bank with, a [State bank](/usc/12/214.md?p=a) under [State](/usc/12/95.md?p=b-2) charter.
