# §4002.2. Quorum.


[Section 4002(d)(2)](/cfr/29/4002.md?p=d-2) of ERISA establishes that a majority of the Board Members will constitute a quorum for the transaction of business. Any act of a majority of the Members present at any meeting at which there is a quorum will be the act of the Board.
