# §19.123. Cease-and-desist authority.

- (a) **Scope.** Except as provided in this section, [subpart A](/cfr/12/subpartA.md) of this part applies to proceedings by the Comptroller to determine whether, pursuant to authority contained in sections 12(i) and 21C of the Exchange Act (15 U.S.C. [78l(i)](/usc/15/78l.md?p=i) and [78u-3](/usc/15/78u-3.md)), the Comptroller may initiate cease-and-desist proceedings against a national bank or Federal savings association for violations of sections 10A(m), 12, 13, 14(a), 14(c), 14(d), 14(f), and 16 of the Exchange Act (15 U.S.C. [78j-1(m)](/usc/15/78j-1.md?p=m), [78l](/usc/15/78l.md), [78m](/usc/15/78m.md), [78n(a)](/usc/15/78n.md?p=a), [78n(c)](/usc/15/78n.md?p=c), [78n(d)](/usc/15/78n.md?p=d), [78n(f)](/usc/15/78n.md?p=f), and [78p](/usc/15/78p.md)); sections [302](/cfr/12/302.md), [303](/cfr/12/303.md), [304](/cfr/12/304.md), [306](/cfr/12/306.md), [401(b)](/cfr/12/401.md?p=b), [404](/cfr/12/404.md), [406](/cfr/12/406.md), and [407](/cfr/12/407.md) of the Sarbanes-Oxley Act of 2002 as amended (15 U.S.C. [7241](/usc/15/7241.md), [7242](/usc/15/7242.md), [7243](/usc/15/7243.md), [7244](/usc/15/7244.md), [7261](/usc/15/7261.md), [7262](/usc/15/7262.md), [7264](/usc/15/7264.md), and [7265](/usc/15/7265.md)); or regulations or rules issued thereunder.
- (b) **Public basis of proceedings; private hearings.** All proceedings under this section must be commenced, and the notice of charges must be filed, on a public basis, unless otherwise ordered by the Comptroller. Pursuant to [§ 19.33(a)](/cfr/12/19.33.md?p=a), any request for a private hearing may be filed within 20 days of service of the notice.
